Burak Ahmed is a business and tax attorney who represents individuals and business entities in transaction structuring, debt and equity financings, executive and equity-based compensation arrangements, and mergers and acquisitions. Burak regularly advises clients on transactions ranging from approximately $10 million to more than $1 billion, helping them address tax considerations, manage transaction risk, and achieve efficient outcomes. 

Burak's experience includes partnership taxation, corporate and S corporation taxation, qualified small business stock (QSBS) eligibility, Section 409A non-qualified deferred compensation plans, Section 83 restricted property issues, Section 280G golden parachutes, and cross-border investments and financings. 

Clients come to Burak for his experience and his ability to evaluate financial statements, model outcomes, and communicate sophisticated issues in a way that aligns with his clients' business objectives. 

Outside of the office, Burak is an avid tennis player, golfer, and skier.

  • Advised a private equity firm on its $1 billion-plus majority investment in a music catalog company, structuring the transaction to support tax-efficient global digital licensing growth.
  • Represented a film catalog company in its approximately $300 million acquisition by a private equity firm, creating a leading independent content platform with a 70,000-title library.
  • Advised a private equity firm on its approximately $300 million cross-border acquisition of a music icon's catalog, name, image and likeness, focusing on tax and structuring considerations.
  • Represented an artificial intelligence company startup in its strategic acquisition by a leading enterprise software provider, advising on the tax aspects of integrating data infrastructure technology into the acquirer platform.
  • Advised a special purpose acquisition company in its $110 million SPAC merger with two health care companies.
  • Represented lenders in extending credit facilities to life science company borrowers, advising on the tax provisions of loan agreements, debt modifications, warrant coverage, and other tax considerations arising in these financing transactions.
  • Advised an entertainment icon and his production company on a $100 million capital raise from a private equity company, addressing the tax implications of a restructuring before the capital raise.
  • Advised a tech startup on QSBS eligibility and its Series A financing from a private equity firm, supporting the company’s international SaaS expansion.
  • Represented a global lifestyle, entertainment, hospitality, and investment company in its strategic investment in a hospitality and nightlife group, supporting brand growth from Palm Beach, Florida to Montauk, New York.
  • Represented a foreign corporation's cross-border investment in a feature film in the U.S. 
  • Advised multiple clients on the tax structuring and execution of business aviation aircraft acquisitions, financings and leasing transactions.
