Marianne S. Martin is a Corporate Finance partner in JMM's Corporate practice, specializing in guiding founder, sponsor-backed and private credit middle-market borrower companies through various stages of debt financing. She also brings niche expertise in distressed and special situations, particularly with private credit lenders.
Having executed nearly $700 million in financing transactions over the past few years, and restructuring and financing transactions of collectively well over $1.5 billion throughout her career, Marianne is widely recognized for her expertise in debt financing and related practices. Marianne frequently represents borrower and lender clients in complex commercial finance transactions, including fund finance transactions.

She also represents private credit funds and lenders in subscription lines and warehouse lines of credit.
Marianne's experience also extends to representing lenders in opportunistic, bridge and specialty finance transactions, including representing creditors in bankruptcy, Uniform Commercial Code (UCC) issues, Article 9 foreclosures, out-of-court restructurings, workouts, California ABCs and other distressed situations.
Marianne’s ability to “cut to the chase” for clients in complex arrangements makes her an invaluable partner to clients seeking practical solutions in dynamic markets. Marianne is frequently recognized as a leading practitioner in debt and corporate financing. Represented private lender in an over $50 million participation of a nearly $260 million sponsor-backed warehouse facility, in assisting lender with structure and sponsor dynamics.
Family Office: $230M Financing for Private Borrower
Represented a private borrower in an over $230 million financing secured on securities and other bespoke collateral, working with borrower to maximize flexibility in light of credit size.
Sponsor-Backed: $160M Syndicated Financing for Industrials Borrower
Represented a commercial industrials borrower in a nearly $160 million syndicated financing and sponsor-backed investment, to assist client in adjusting covenant coverage and increasing its traditional facility size.
Industrials Borrower: $190M Syndicated Financing for Industrials Borrower with Expanded Covenants
Represented a commercial industrials borrower in a nearly $190 million syndicated financing, to assist client in adjusting to greater covenant flexibility, increasing facility size and expanding financial relationships.
Sponsor-Backed: Over $100M Private Credit Investment
Represented borrower clients in an over $100 million private credit commitment involving a new sponsor investment, to assist client in moving towards an increased size of credit facility and sponsor backing.
Fund Financing: Up to $30M Warehouse Line
Represented a private credit lender borrower in an approximately $30 million (including accordion) warehouse line of credit facility funded from a private credit lender, to assist client in heavily negotiating broader eligible collateral and borrowing base covenants to accommodate borrower’s growing lending business.
Media/Entertainment: $171M Syndicated Media-Linked Financing on Tight Timeline
Represented a commercial borrower in a $171 million syndicated financing, in a bespoke and complex credit on a tightened timeframe in a deal involving significant media and entertainment-focused collateral.
Business Services: $50M Syndicated Financing with Revolver and Delayed Draw Term Loan
Represented a commercial borrower in a nearly $50 million syndicated financing, with a revolver and delayed draw term loan sub-facility, to assist client in moving from a bilateral arrangement to a syndicated, sponsor-backed arrangement with its lender and agent.
Financial Services: $60M Bilateral Revolver for Bank Lender Secured by Foreign Securities
Represented a bank lender in a $60 million bilateral revolver facility secured on foreign securities and accounts, and assisted client in better understanding borrower’s financial services business and collateral.
Distressed: $20M Private Credit Refinancing
Represented private lender in over $20 million refinancing of an incumbent lender, in connection with a private credit refinancing, to assist client with intricacies of real estate and other collateral.
