Samuel (Sam) Licker is an associate in Jeffer Mangels & Mitchell LLP’s corporate practice. Sam is a transactional attorney who handles mergers and acquisitions, venture capital and emerging company financings, corporate governance, and outside general counsel matters for public and private companies across a wide range of industries, including technology, entertainment and digital media, advertising, insurance, construction, and real estate.

Sam guides deals from term sheet through closing. He represents buyers, sellers, and investors in stock, asset, and membership interest acquisitions, mergers, joint ventures, restructurings, and spin-off transactions, including cross-border deals. He supervises due diligence, drafts and negotiates primary and ancillary transaction documents, and advises clients through every stage of the transaction. He also advises private equity clients and portfolio companies on acquisitions, corporate restructuring, LLC operating agreements, investment vehicles, and fund formation.

Sam also serves as outside general counsel to startups and mature businesses alike. He advises founders and emerging growth companies on entity formation (including professional corporations), corporate governance, cap table management, and venture and growth financings, including SAFE financings and NVCA-form documentation. He also keeps clients current on topics ranging from general corporate compliance to crypto and blockchain, and he has experience with SEC compliance and reporting and insurance regulatory counseling.

Clients rely on Sam’s collaborative demeanor and appreciate his creative thinking, especially when it comes to negotiating, corporate structuring, and understanding his clients’ needs and objectives. 

Before practicing law, Sam worked in the legal affairs division of Multicom Entertainment Group, an independent distributor focused on the global television market and digital media platforms. While at Notre Dame Law School, he served as Senior Articles Editor of the Notre Dame Journal of Legislation and took part in the school’s London Law Program, where he studied international tax and environmental law and assisted asylum seekers at the Islington Law Centre. Sam has also advised pro bono clients on entity formation and nonprofit governance through Bet Tzedek and Lawyers for a Sustainable Economy. Outside the office, he is a black belt in Tang Soo Do, a mentor in Sinai Temple’s ATID Young Professionals program, and an avid golfer and traveler.
